Due Diligence Inspections

During the due diligence period of a commercial building transaction, indoor environmental issues need to be fully understood by the buyer and the seller.  Examples of substandard conditions that need to brought to light include mold, asbestos, lead in paint, and the hygienic conditions inside the air handling systems and ductwork.  All of these conditions can result in substantial expense either in the near or long term for the buyer.

Most conventional due diligence inspections make passing reference to the potential presence of asbestos or lead in paint and frequently overlook completely the presence of mold in the building or dirt in HVAC systems.

In some states, such as California, there is a legal requirement to disclose the presence of mold to a buyer of commercial, residential and industrial buildings.  While residential sellers may not be expected to know of mold in their property, as professionals, commercial owners may be held more responsible for disclosure.
